TERMS AND CONDITIONS

R & R Recruiting acts as a third-party distributor in a contractual agreement with Connect to Your City, DYME Magazine, and Forrizzel TV, and all services are offered with their permission. You may not use our services if you disagree with these Terms.
These terms and conditions govern all advertisers, Content Creators (“advertisers/ Content Creators”), and any agency (“Agency”) acting on their behalf, purchasing inventory, and serving such ads/ media material content onto our contractual partnering platforms and applications, websites, digital services, or any devices on which R & R Recruiting LLC sells advertising inventory.
As a condition of using our services, each advertiser/Content creator/ agrees to be bound by these Terms, which form a legally binding contract with R & R Recruiting LLC (“R & R” or “we”) If an Agency procures Ads/ content distribution on behalf of the advertiser/ Content Creator, the agency hereby agrees to be bound by these third-party terms on behalf of and as if it were the advertisers/ Content Creators.
Definitions
• “Platform” refers to Connect to Your City, DYME Magazine, Forrizzel TV, their services, and their tools
• “R & R Recruiting” refers to the third-party distributor responsible for collecting content and payments.
• “Advertiser” refers to businesses or individuals purchasing ad space.
• “Content Creator” refers to individuals or entities providing content for distribution, such as production companies, entertainment companies, entertainers, athletes, vloggers, etc.
The individual agreeing to these Terms on behalf of advertisers/ Content Creators or Agency represents and warrants they have the full authority to bind such entities to these Third Party Terms For purposes of these Third Party Terms, advertisers/ Content Creators and Agency, and any individual acting on their behalf, may be collectively referred to as “you” or “your” hereinafter.
1 License Grant
By submitting content to us, you represent and warrant that you possess or legally control all rights to the submitted materials and it will not violate or infringe upon the common law or statutory right of any individual or entity, including, but not limited to, contractual rights, copyrights, trademarks, and rights of privacy and publicity and hereby grant R & R Recruiting a non-exclusive, non-transferable (except as provided herein), worldwide, royalty-free right and license during the designated campaign period to format, reproduce, display, distribute, publish, perform and promote your advertisements/ or media content, and any related artwork, images, graphics, text, video, audio, performances, data, trademarks, logos, URLs or other assets, materials, ideas or information collectively, in any size, placement, or location on the R & R Recruiting properties and exercise and exploit any intellectual property, publicity, and any other proprietary rights embodied in your content in connection with your campaigns and these Third Party Terms.

4. Collaborations
R & R Recruiting may collaborate with other agencies to retain and obtain a new audience and/or talent. All parties must agree to any of its terms and conditions within the separate collaboration agreement.

All submitted materials must comply with platform policies, industry standards, and applicable laws.
R & R Recruiting LLC reserves the right to remove submissions in its discretion at any time, including, but not limited to, any submission which contains obscene or defamatory content, hate speech, bullying, harmful or offensive material, false material, spam, infringes upon the right of a third party, contains any form of child exploitation, or is otherwise in violation of any applicable law or regulation. Prohibited content includes, but is not limited to, illegal content.
7. Analytics and Reporting
The Platform tracks ad performance based on completed plays. Unless explicitly stated in a separate agreement, we will provide audience demographics to inquiring parties every 90 days.
7. Non-Compete Clause
In consideration of employment, training, or business opportunities provided by R & R Recruiting (“Company”), the undersigned (“Adveriser/Content Creator/Contractor/Employee/Distributor”) agrees to the following terms:
A. Non-Compete Agreement
The Advertiser/ Content Creator/ Contractor/ Employee/distributors agrees that during their engagement with theCompanyy, and for two (2) years following termination of employment or contract for any reason, they will not directly or indirectly engage in any business, employment, or contractual relationship that competes with the services, clients, or business operations of R & R Recruiting, including but not limited to recruiting, staffing, media brokering, advertising sales, and any business under Connect to Your City, DYME Magazine, Forrizzel TV, or its affiliates.
B.Geographic Scope
This non-compete restriction shall apply to any location where R & R Recruiting conducts business, markets its services, or has established clients or partnerships, including but not limited to the United States and international territories where business is conducted.
C. C.Non-Solicitation of Clients and Employees
The Advertiser/Content Creator/ Contractor/ Employee/ distributors, any further or agrees not to solicit, divert, or take away, or attempt to solicit, divert, or take away, any existing clients, prospective clients, business partners, or employees of R & R Recruiting, either for their benefit or for the benefit of any competing individual or entity.
D. Confidentiality and Proprietary Information
The Advertiser/Content Creator/ Contractor/ Employee/Distributors acknowledges that they may have access to confidential and proprietary information during engagement. They agree to maintain the confidentiality of all trade secrets, client lists, pricing models, marketing strategies, and other proprietary information. They will not disclose such information to any third party without written consent from R & R Recruiting.
E. Enforcement and Remedies
The Advertiser/ Content Creator/ Contractor/ Employee/distributor acknowledges that a breach of this agreement may cause irreparable harm to R & R Recruiting. In the event of a violation, the Company shall be entitled to seek injunctive relief, damages, and any other legal remedies available under law.
F.Severability
If any provision of this Non-Compete Clause is held unenforceable or invalid, the remaining provisions shall remain in full force and effect.
8. Indemnification
You acknowledge and agree that neither our acceptance of any submission nor our inclusion of a submission on our third-party media platforms shall constitute a waiver of any of your representations, warranties, or agreements hereunder. You agree to indemnify R & R Recruiting LLC and hold us harmless against any damages, costs, and fees, including attorneys’ fees, which we incur in any claim, suit, litigation, or proceeding arising out of any breach or claimed breach by you of any covenant, warranty, or representation made by you herein.
9. Limitation of Liability
R & R Recruiting is not liable for any content errors, delays in distribution, or technical issues related to the Connect to Your City platform or DYME Magazine. The Platform is responsible for ensuring content distribution as per the agreement.

R & R Recruiting may update these Terms and Conditions at any time. Continued use of services indicates acceptance of changes.
8. GOVERNING LAW: This agreement is governed and construed under the laws of the State of Arizona, without regard to its conflict of laws principles. All legal matters or disputes arising from this agreement will be resolved in Arizona courts.
