Please read the Terms of Service carefully. By using our services, you accept and agree to be bound and abide by these Terms of Service.  If you do not want to agree to these Terms of Service, do not submit or provide your material to our company.

TERMS AND CONDITIONS

R & R Recruiting is a mass media distributor in a strategic business alignment with Connect to Your City, DYME Magazine and Forrizzel TV. You may not use our services if you do not agree to these Terms.

These terms and conditions govern all advertisers, Content Creators (“advertisers/ Content Creators”), and any agency (“Agency”) acting on their behalf, purchasing inventory, and serving such ads/ media material content through R & R Recruiting and onto our alliance platforms and applications, websites, digital services, or any devices on which R & R Recruiting LLC sells advertising inventory.  

As a condition of using our services, each advertiser/Content creator/ agrees to be bound by these Terms, which form a legally binding contract with R & R Recruiting LLC (“R & R” or “we”). The individual agreeing to these Terms on behalf of advertisers/ Content Creators or Agency represents and warrants they have the full authority to bind such entities to these terms. For purposes of these  terms, advertisers/ Content Creators and Agency, and any individual acting on their behalf, may be collectively referred to as “you” or “your” hereinafter.

Definitions

• “Platform” refers to Connect to Your City, DYME Magazine, Forrizzel TV, their services, and their tools

• “R & R Recruiting” refers to the distributor responsible for scheduling content, collecting content and payments.

• “Advertiser” refers to businesses or individuals purchasing ad space.

• “Content Creator” refers to individuals or entities providing content for distribution, such as production companies, entertainment companies, entertainers, athletes, vloggers, etc.

1. License Grant

By submitting content to us, you represent and warrant that you possess or legally control all rights to the submitted materials and it will not violate or infringe upon the common law or statutory right of any individual or entity, including, but not limited to, contractual rights, copyrights, trademarks, and rights of privacy and publicity and hereby grant R & R Recruiting a non-exclusive, non-transferable (except as provided herein), worldwide, royalty-free right and license during the designated campaign period to format, reproduce, display, distribute, publish, perform and promote your advertisements/ or media content, and any related artwork, images, graphics, text, video, audio, performances, data, trademarks, logos, URLs or other assets, materials, ideas or information collectively, in any size, placement, or location on the R & R Recruiting properties including any platform we may have access to and exercise and exploit any intellectual property, publicity, and any other proprietary rights embodied in your content in connection with your campaigns and these Terms.  

2. CONTENT SUBMISSION AND BROADCASTING

1. You acknowledge and agree that you have granted every right and license described above.
2. Submission of content to R & R Recruiting does not guarantee distribution on any platform, including those with which R & R Recruiting maintains strategic alliances, such as Connect to Your City, Dyme Magazine and Forrizzel Tv. Decisions regarding content placement are made at the sole discretion of R & R Recruiting and its alliance partners, based on programming strategy, platform standards, and other relevant factors. R & R Recruiting reserves the right to accept, reject, or remove content at any time, with or without notice, and without obligation to provide justification.
3. For the good and valuable consideration of having your submission considered for inclusion on platforms in which we are in alliance with and making your submission available for viewing, you acknowledge and agree that you are not entitled to any additional compensation, monetary or otherwise, from R & R Recruiting LLC and our grantees, licensees, and assigns in exchange for the grant of rights herein unless described by R & R Recruiting in an exclusive agreement with a specified party or parties, agreeing to the terms and conditions therein. 
4. You are solely responsible for all of the Ads and media content you choose to run on the Platform, including providing all content, materials, assets, and information necessary to create an Ad and place an order for its insertion on the Connect To Your City Properties, DYME Magazine and Forrizzel TV through checkout process with an Advertising Account Executive. You are responsible for providing all of your desired parameters for each Ad and/or media content, including the maximum amount you want to spend throughout a campaign, the start and end date of your Ads(s)/ media content and various targeting criteria, each subject to limitations set by R & R Recruiting from time to time in its sole discretion (including without limitation the number of Ads an advertisers/ Content Creators/ Content Creators can run. It is your responsibility to ensure R & R is aware of your objectives. You are solely responsible for informing R & R Recruiting about changes to your Ads/ or media content being distributed. Ads/ or media content will stop being delivered upon the earlier of (i) the date your Budget has been reached, or (ii) the scheduled end date for the applicable campaign.
5. All content must be submitted per platform standards and guidelines through the R & R Recruiting website. Each submission will receive a submission ID.
6. Content will be distributed any day within 7 days after R & R Recruiting receives the content and associated payments.
7. R & R Recruiting is not responsible for uploading content directly to the Connect to Your City platform, Dyme Magazine or Forrizzel TV. Our role is to offer and schedule content distribution, to collect content and/or payments and transfer them to Connect to Your City, DYME Magazine, Forrizzel TV per our alliance agreements.

3. Payment Terms and Cancellation

• Payments are accepted and provided only via Online, PayPal and Cash App.
• Prices are subject to change without prior announcement.
• No refunds are provided for unused airtime.
• R & R Recruiting does not offer free trials but at its discretion may offer discounts and incentives. 

4. Collaborations

R & R Recruiting may collaborate with other agencies and individuals to retain and obtain a new audience and/or talent. All parties must agree to any of its terms and conditions within the separate collaboration agreement.

5.  Ad Rotation and Placement

1. Advertisements are guaranteed a specified number of completed plays within the rotation schedule per 60- or 90-day campaigns.
2. Advertisements or other film and/or audio content will not automatically continue running or remain on any outlet after the initial campaign or agreement ends. Therefore, all individuals and entities must renew the campaign with a sales representative from R & R Recruiting no later than 7 days before the airing campaign end date. Otherwise, the finished airing content will stop airing on the distributed channels once a campaign completes. Prices are subject to change. 
3. Campaigns can automatically will not automatically renew if your payment method expires or is invalid. All charges are non-refundable unless otherwise specified in this Cancellation policy.
4. Ad placement is subject to availability and alignment with platform guidelines. R & R Recruiting does not guarantee any ad space to any individual or entity besides what is available at the time of the request. 

6. Content Compliance

All submitted materials must comply with platform policies, industry standards, and applicable laws.

R & R Recruiting LLC reserves the right to remove submissions in its discretion at any time, including, but not limited to, any submission which contains obscene or defamatory content, hate speech, bullying, harmful or offensive material, false material, spam, infringes upon the right of a , contains any form of child exploitation, or is otherwise in violation of any applicable law or regulation. Prohibited content includes, but is not limited to, illegal content.

7. Analytics and Reporting

The platform tracks ad performance based on completed plays. We will provide specific audience demographics every 90 days to inquiring parties with content streaming on an OTT channel, unless explicitly stated in a separate agreement according to what's offered in the selected plan and services.

7. Non-Compete Clause

1. Non-Solicitation of Clients and Employees

The Advertiser and/or /Content Creator agrees not to solicit, divert, or take away, or attempt to solicit, divert, or take away, any existing clients, prospective clients, business partners, or employees of R & R Recruiting, either for your own benefit or for the benefit of any competing individual or entity

1. Enforcement and Remedies

The Advertiser/ Content Creator acknowledges that breach of this agreement may cause irreparable harm to R & R Recruiting, and in the event of a breach, the Company shall be entitled to seek injunctive relief, damages, and any other legal remedies available under law.

1. Severability

If any provision of this Non-Compete Clause is held to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

8. Indemnification

You acknowledge and agree that neither our acceptance of any submission nor our inclusion of a submission shall constitute a waiver of any of your representations, warranties, or agreements hereunder. You agree to indemnify R & R Recruiting LLC and hold us harmless against any damages, costs, and fees, including attorneys’ fees, which we incur in any claim, suit, litigation, or proceeding arising out of any breach or claimed breach by you of any covenant, warranty, or representation made by you herein.

9. Limitation of Liability

R & R Recruiting is not liable for any content errors, delays in distribution, or technical issues related to the Connect to Your City platform,DYME Magazine Forrizzel or any other platform in which we distribute content on. The platform is responsible for ensuring content distribution as per its agreement with R & R Recruiting.

10. Termination

R & R Recruiting reserves the right to terminate or suspend accounts for the following:

• Non-compliance with these Terms.
• Violation of platform policies or legal obligations.,
• Any existing or new client threatens harm, danger, or ill will towards R & R Recruiting, its property, relationships, employees, contractors, or partners.

11. Amendments

R & R Recruiting may update these Terms and Conditions at any time. Continued use of services indicates acceptance of changes.

8. GOVERNING LAW: This agreement is governed and construed under the laws of the State of Arizona, without regard to its conflict of laws principles.  All legal matters or disputes arising from this agreement will be resolved in Arizona courts.
